Vendor Terms & Conditions
Applies to the OTPCabs Vendor App. Operated by OTP CAB SERVICE PRIVATE LIMITED.
These Terms & Conditions ("Terms") govern your participation as a vendor or fleet partner on the platform operated by OTP CAB SERVICE PRIVATE LIMITED ("OTPCabs", "we", "us", or "our") and your use of the OTPCabs Vendor App.
These Terms apply to vendors and fleet partners only. Customers and drivers are governed by separate terms available on this website.
1. Eligibility, Registration, and KYC
You must be at least 18 years old and legally capable of operating a fleet or vehicle-supply business in India. You register with your mobile number, verified by OTP, and must complete vendor KYC — including PAN and identity verification — and provide accurate business information before your account is activated.
All information and documents you provide must be accurate and kept up to date. Submitting false or forged information results in immediate account action.
2. Driver Management
You may add drivers to your fleet through the Vendor App. For every driver you add, you must:
- Have the driver's permission to submit their personal information and documents to OTPCabs.
- Submit genuine, valid documents (licence, identity) belonging to that driver.
- Ensure the driver meets platform eligibility rules and passes verification before serving bookings.
- Take reasonable responsibility for the conduct and compliance of drivers operating under your fleet.
3. Vehicle Management
You may add vehicles to your fleet through the Vendor App. For every vehicle you add, you must:
- Submit genuine RC details and ensure the registration, insurance, permits, and fitness documents are valid and current.
- Declare the correct vehicle category, brand, model, colour, and fuel type.
- Keep vehicles clean, roadworthy, and compliant with applicable motor vehicle laws.
4. Assignments and Booking Management
You assign verified drivers and vehicles to bookings through the app, subject to platform rules — including vehicle category and upgrade rules, restrictions on changing assignments during an active trip, and driver availability requirements.
Bookings must be served with the assigned driver and vehicle. Substituting an unverified driver or vehicle on a platform booking is strictly prohibited.
5. Earnings, Wallet, Fees, Settlement, and Payout
Your earnings, platform fees, and commission are shown in the app. Where a vendor wallet applies, you may need to maintain a minimum balance as communicated in the app.
Settlements and payouts are made to your verified bank account. Bank details must pass verification before payouts are processed. Amounts under fraud investigation or dispute may be withheld until resolution.
You are responsible for your own tax obligations, including GST and income tax where applicable.
6. Vendor Responsibilities and Customer Safety
- Ensure drivers in your fleet follow the Driver Terms & Conditions and platform safety standards.
- Ensure vehicles in your fleet remain compliant, insured, and permitted.
- Cooperate with investigations of complaints involving your fleet.
- Protect customer and driver personal data: use it only for platform operations and never for unrelated marketing or personal contact.
7. Prohibited Activities
- Creating fake driver accounts or registering vehicles that do not exist or do not match their documents.
- Arranging fraudulent trips or manipulating GPS or trip data.
- Sharing your vendor account with unauthorised persons.
- Misusing customer information obtained through the platform.
- Circumventing platform fees by taking platform bookings off-platform.
8. Suspension, Restriction, Termination, and Investigation
We may restrict individual drivers or vehicles in your fleet, or restrict, suspend, or terminate your vendor account, for violation of these Terms, failed or expired verification, safety issues, fraud, or unlawful activity, with notice where practicable.
During an investigation, related payouts may be paused. You agree to cooperate with reasonable information requests.
9. Service Availability and Platform Changes
We do not guarantee any minimum number of bookings or earnings. The platform, its features, fees, and rules may change; material changes will be communicated through the app or other reasonable means.
10. Limitation of Liability
You are an independent business, not an employee, agent, or partner of OTPCabs. To the maximum extent permitted by law, OTPCabs is not liable for indirect, incidental, or consequential losses arising from your use of the platform, and its aggregate liability is limited to the fees paid by you to OTPCabs in the three months preceding the claim.
11. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date shows the latest revision. Material changes will be notified through the app or other reasonable means. Continued use after changes take effect means you accept the updated Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of India, including applicable motor vehicle laws. Subject to any mandatory law, courts at Bengaluru, Karnataka have exclusive jurisdiction. Please raise disputes with our grievance team first so we can try to resolve them directly.
